1. Introduction

Welcome to DragBin ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of DragBin's website, mobile applications, and other online products and services (collectively, the "Services"). By using our Services, you agree to these Terms. If you do not agree to these Terms, you may not use our Services.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

Important: Due to our zero-knowledge encryption architecture, DragBin cannot recover your files if you lose your encryption keys or password. You are solely responsible for maintaining secure backups of your encryption keys and passwords.

3. Subscription Plans and Payments

DragBin offers various subscription plans. The features, storage limits, and pricing for each plan are available on our website. We reserve the right to change our plans and pricing at any time, but we will notify you of any changes that apply to you.

You agree to pay all fees in accordance with the subscription plan you choose. If you do not pay on time or if we cannot charge your payment method, we reserve the right to suspend or terminate your access to the Services.

Subscription fees are charged at the beginning of your subscription period and will automatically renew unless you cancel your subscription. You can cancel your subscription at any time, and your subscription will remain active until the end of your current billing period.

4. User Content and Ownership

You retain all ownership rights to the content you upload to DragBin ("User Content"). By using our Services, you grant us a limited license to store and transmit your encrypted User Content solely for the purpose of providing and improving our Services.

Due to our zero-knowledge encryption architecture, we cannot and do not inspect the contents of your encrypted files. However, you represent and warrant that you have all necessary rights to your User Content and that your User Content does not infringe or violate any third-party rights or applicable laws.

You are solely responsible for your User Content and the consequences of uploading, sharing, or publishing it. We are not responsible for the accuracy, appropriateness, or legality of your User Content.

5. Prohibited Uses

You agree not to use DragBin to:

• Violate any applicable law or regulation
• Infringe any intellectual property rights
• Distribute malware or any other harmful computer code
• Engage in any activity that interferes with or disrupts the Services
• Attempt to gain unauthorized access to any portion of the Services
• Use the Services to store or transmit illegal content

We may terminate or suspend your account if we reasonably believe you have violated these Terms or our Acceptable Use Policy.

6. Data Security and Privacy

DragBin employs end-to-end encryption and zero-knowledge architecture to protect your data. This means that all your files are encrypted on your device before being transmitted to our servers, and we do not have the ability to decrypt your files.

7. Limitation of Liability

To the maximum extent permitted by law, DragBin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

In no event shall DragBin's aggregate liability for all claims relating to the Services exceed the greater of $100 or the amounts paid by you to DragBin for the past 12 months.

8. Indemnification

You agree to indemnify, defend, and hold harmless DragBin and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to your use or misuse of the Services or your breach of these Terms.

9. Modifications to the Terms or Services

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will provide notice through our Services or by other means. Your continued use of the Services after the changes have been posted constitutes your acceptance of the revised Terms.

We may update or modify the Services from time to time. We are not liable if any feature becomes unavailable or if we suspend or terminate the Services altogether, although we will make reasonable efforts to notify you in advance of any significant changes.

10. Termination

You may terminate these Terms at any time by canceling your subscription and ceasing all use of the Services. We may terminate or suspend your access to and use of the Services at any time, at our sole discretion, without notice, including if we believe you have violated these Terms.

Upon termination, your right to use the Services will immediately cease. The following provisions of these Terms will survive termination: Limitation of Liability, Indemnification, and any other provision that by its nature should survive termination.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in San Francisco, California, and you consent to the jurisdiction of such courts.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be resolved through informal negotiations. If the dispute cannot be resolved through negotiations, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
